Terms of Service
Last updated: April 2025. By using eCareHRMS, you agree to these terms. Customers with a signed Master Services Agreement (MSA) are governed by that MSA, which supersedes these terms.
Account & access
You are responsible for maintaining the confidentiality of your account credentials and for all activity that happens under your account. Notify us immediately at security@medarch.com of any unauthorized use.
Acceptable use
Do not use eCareHRMS to: (a) violate any law, (b) infringe intellectual property, (c) transmit malware, (d) attempt to bypass security controls, or (e) access or share data you are not authorized to. We may suspend accounts that violate these terms.
Service level
We target 99.9% uptime, measured monthly, excluding scheduled maintenance windows. Customers on Enterprise plans receive contractual SLAs with service credits. Detailed SLA terms are in your MSA.
Intellectual property
You retain ownership of your data. We retain ownership of the platform and underlying technology. You grant us a limited license to process your data solely to provide the service.
Termination
Either party may terminate with 30 days written notice. Upon termination, we will provide an export of your data in standard formats (FHIR/CSV) and permanently delete it after 90 days unless legally required to retain it.
Limitation of liability
To the maximum extent permitted by law, our total liability is capped at fees paid in the 12 months preceding the claim. We are not liable for indirect or consequential damages. Full terms are in your MSA.
Governing law
These terms are governed by Delaware law. Disputes go through binding arbitration in Delaware unless your MSA specifies otherwise.
